Independent Contractor Agreement for Head of Security Certified Security Risk Management Professionals

This Independent Contractor Agreement (“Agreement”) is entered into by and between Head of Security LLC, an Illinois limited liability company (“Company”), and You (“Participant”), effective as of the date of your enrollment in the Head of Security Certified Security Risk Management Professional Course and Community Membership.


1. Purpose

1.1 This Agreement outlines the rights, responsibilities, and restrictions of the Participant as a Certified Security Risk Management Professional and independent contractor operating within the Head of Security program and network.

1.2 It governs access to training, certification, community membership, brand usage, and eligibility to deliver services through or in association with Head of Security LLC.

1.3 Applicability.
This Agreement applies to all Participants enrolled in the Head of Security Certified Security Risk Management Professional Course, including those at the Associate, Certified, and higher levels.

  • Associates are considered Participants in Training and are bound by all confidentiality, intellectual property, and non-compete provisions of this Agreement.

  • Associates are not yet eligible to perform paid consulting services, represent themselves as certified professionals, or earn commissions under the Head of Security network until they have achieved full certification and independent contractor status.


2. Independent Contractor Status

  • You are an independent contractor, not an employee, agent, or legal representative of Head of Security LLC.

  • You are responsible for your own taxes, insurance, and business expenses.

  • You have no authority to bind or represent the Company in legal, financial, or contractual matters without written authorization.


3. Course Enrollment and Certification Path

3.1 Enrollment does not guarantee certification. You must successfully complete all training, pass the exam, and meet all eligibility standards.
3.2 Upon passing the exam, you will earn the title of Associate Security Risk Management Professional.
3.3 To become a Certified Security Risk Management Professional, you must:

  • Submit a formal application

  • Pay a $250 non-refundable application fee

  • Complete and verify additional fieldwork, case studies, or client assessments

3.4 Upon approval, you will be granted Certified Security Risk Management Professional status, with access to exclusive business opportunities and service privileges.


3A. Scope of Services

  • Certified Professionals may offer consulting, training, and implementation services as independent producers under the Head of Security network.

  • You retain full discretion over your work and clients but must uphold Head of Security’s professional and ethical standards.

  • Head of Security may offer optional referrals or assignments but is not obligated to provide them.


3B. Compensation and Payment

  • Certified Professionals may earn commissions, referral fees, or service fees according to established schedules or written agreements.

  • Payments are processed according to Head of Security’s standard payment cycle.

  • Participants must provide tax documentation (e.g., W-9). The Company will issue 1099-NEC forms where applicable.


4. Membership and Payment Terms

  • Active membership is required, including a 12-month commitment at $19/month.

  • Membership renews automatically unless canceled per policy.

  • Failure to pay will result in suspension or revocation of certification.

  • Delinquent accounts over 90 days will be terminated and require a $250 reinstatement fee and course re-completion.

  • Continued participation implies agreement to revised terms or pricing.


5. Use of Certification and Branding

  • Certified Professionals may publicly identify as: “Independent Security Risk Management Professional Certified by Head of Security LLC.”

  • Titles must be used truthfully based on current level (Associate, Certified, Senior, etc.).

  • All branding must adhere to Head of Security’s guidelines and standards.

  • Certification rights are contingent upon active membership and good standing.


6. Confidentiality and Intellectual Property

  • All course materials, systems, and frameworks (including P.L.A.T.E., P.P.B.T., HASARD, and others) are proprietary to Head of Security LLC.

  • Materials may not be shared, reproduced, or repurposed outside of approved consulting work.

  • These obligations survive termination of this Agreement.


7. Non-Compete and Use Restrictions

  • For two (2) years after course completion, you may not create or promote a competing certification or consulting program based on Head of Security content.

  • Materials are licensed only for use under the Head of Security network.


8. Legal Remedies

  • Any breach of confidentiality, IP, or non-compete terms may result in injunctive relief and liquidated damages of $10,000 per violation.


9. Term and Termination

  • This Agreement remains effective while you maintain certification and membership.

  • Head of Security may suspend or revoke certification at its discretion.

  • Reinstatement requires requalification and repayment of fees.


10. No Guarantee of Earnings

  • Certification validates training and competency, not guaranteed employment or income.

  • Individual results depend on personal performance and market conditions.


11. Governing Law and Jurisdiction

  • Governed by the laws of Illinois.

  • Exclusive venue: Circuit Court of Cook County or U.S. District Court for the Northern District of Illinois.

  • Prevailing party may recover attorneys’ fees and costs.


12. Acknowledgment

By enrolling in the Head of Security Certified Security Risk Management Professional Course or maintaining membership, you acknowledge that you have read, understood, and agree to be bound by this Agreement.


Appendix A: Commission Schedule

Commission structures, payout terms, and eligibility criteria are maintained in a separate document titled “Appendix A: Commission Schedule”, incorporated by reference and updated at the discretion of Head of Security LLC.
